Terms & Conditions

These terms are an agreement between you (or the organization you represent) and Cinnamons Consulting Services, LLC ("we", "us") for the use of ORDSwatch, HTTPDwatch and NGINXwatch, in their hosted and self-hosted editions, and of our websites (together, the "Services"). By creating an account, installing the software or using the Services, you accept these terms. If you accept them for an organization, you confirm you are authorized to do so.

1. The Services

The Services monitor and help manage Oracle REST Data Services, Apache HTTPD and NGINX servers. The hosted edition is run by us; you install an agent on your servers. The self-hosted edition is software you install and run on your own servers under a license key. Features and limits depend on your plan, as described on each product's pricing page.

2. Accounts

You are responsible for your account, for keeping sign-in details and agent secrets confidential, and for everything done under your account. Keep your contact details accurate. Tell us promptly at privacy@cinnamonsservices.com if you believe your account has been compromised.

3. Acceptable use

You agree not to:

  • use the Services on systems you are not authorized to monitor or manage;
  • attempt to access other customers' data, probe or disrupt the Services, or bypass plan limits or license checks;
  • reverse-engineer, resell or sublicense the Services, except where the law expressly allows it;
  • use the Services to break any law or to send malicious code.

We may suspend access that threatens the security or availability of the Services, and will tell you why when we can.

4. Plans, trials and payment

Paid hosted plans start with a 14-day trial. If you do not add payment details before it ends, your organization moves to the Free plan; your data is kept. Subscriptions renew automatically each month or year until cancelled. Fees are charged in advance through Stripe and are non-refundable except where the law requires otherwise. Usage-based charges (for example Enterprise instances or users beyond those included) are added to your subscription and prorated. Upgrades apply immediately; downgrades and cancellations take effect at the end of the period already paid. Prices exclude taxes, which are added where applicable. We may change prices with at least 30 days' notice before your next renewal.

5. Self-hosted licenses

We grant you a non-exclusive, non-transferable license to install and use the self-hosted edition, for the plan and limits of your license key, for as long as the license is valid. The software checks its license with our license server and continues working for 48 hours if it cannot reach it, or indefinitely with an offline license file we provide. You may not remove or work around license checks.

6. Your data

You keep all rights to the data you or your agents send to the Services ("Customer Data"). You give us permission to host, process and display it only to provide and support the Services. You are responsible for having the right to collect and send that data. Our Privacy Policy explains how we handle personal information. After your account is closed we delete Customer Data, except where we must keep records by law.

7. Our property

The Services, the software, the documentation and our trademarks belong to us or our licensors. These terms do not give you any rights to them beyond the right to use the Services as described here. Feedback you send us may be used without obligation to you. Oracle, Apache and NGINX are trademarks of their respective owners; the Services are not affiliated with or endorsed by them.

8. Availability and support

We work to keep the hosted edition available and secure, but we do not guarantee that it will be uninterrupted or error-free unless we have agreed a service level with you in writing. We may change or improve the Services; if we remove a significant feature you are paying for, we will tell you in advance. Support is provided through the in-app support tickets on plans that include it.

9. Disclaimer

Except as expressly stated in these terms, the Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. Monitoring and alerts help you operate your systems; they do not replace your own backups, change control and judgement — actions you take through the Services (such as restarting a server) are your responsibility.

10. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised of the possibility. Our total liability for any claim relating to the Services is limited to the amount you paid us for the Services in the 12 months before the event giving rise to the claim (or US $100 if you use only free plans).

11. Indemnity

You will defend and indemnify us against third-party claims arising from your Customer Data or from your use of the Services in breach of these terms or the law.

12. Term and termination

These terms apply while you use the Services. You can cancel at any time from the Billing page or by contacting us. We may suspend or terminate your access if you materially breach these terms and do not fix the breach within 15 days of notice, or immediately where needed to protect the Services or comply with the law. Sections 6 to 11 and 13 survive termination.

13. General

These terms are governed by the laws of the United States, without regard to conflict-of-law rules. Disputes will be resolved in the courts competent for our principal place of business, unless the law where you live requires otherwise. If any provision is found unenforceable, the rest remains in effect. These terms, together with any order form or written agreement we sign with you, are the entire agreement between us about the Services. We may update these terms; we will post changes here and, for significant changes, notify account owners at least 30 days before they apply. You may not assign these terms without our consent.
